PRODUCT END-USER LICENSE AGREEMENT

This is an End-User License Agreement between ME&V LLC (“ME&V”), and, you, the purchaser (“Licensee”). The parties agree: 

1. Grant of License: ME&V hereby grants to the Licensee a license (“License”) to the use the Product(s) for its own marketing/advertising purposes and for no other purposes.  ME&V warrants that it has full authority to grant this License. Change of ownership or management will not dissolve either parties obligations hereunder.
2. Product: The Product(s) is/are defined ads you purchase.
3. Term:  The term of this License is for one year.
4. Effective Date:  The Effective Date of License is the date of purchase. 
5. License Fee:  Licensee shall remit the total amount to ME&V prior to receiving the Product(s).  All fees are nonrefundable.
6. Exclusivity: The Licensee is granted an exclusive License with respect to Products for the licensed area purchase. Licensee shall not use the Product(s) outside said licensed area.
7. Termination:  This License may be terminated upon default by either party if: (1) the other party commits a material breach of the License, (2) the non-breaching party gives notice of such breach, and (3) said breach has not been cured within ten (10) business days of notice. 
8. Return of the Product Upon Termination: Upon Termination or expiration of the License, Licensee will stop using the Product(s) and destroy or return to ME&V the Product(s).
9. General Terms:

   A. The Licensee is prohibited from copying, sharing and distributing or reselling any part of the Product(s), or any part thereof, in any manner. 
   
   B. Title and intellectual property rights to the Product(s) and accompanying materials and any copies made by Licensee remain with ME&V.  Unauthorized copying of the Product(s), or failure to comply with the above restrictions, will result in automatic termination of this License.  This License does not grant Licensee any intellectual property rights whatsoever.
   
   C. The Product(s) is/are provided “as is” or as modified over the term of this License without warranty, either expressed or implied warranties of merchantability or fitness for a particular purpose.

10. Limitation of Liability:  IN NO EVENT WILL ME&V BE LIABLE FOR ANY LOSS OR DAMAGES OF ANY KIND, INCLUDING LOSS OF DATA, LOST PROFITS, COST OF COVER, OR OTHER SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE PRODUCT(S), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY.  THIS LIMITATION WILL APPLY EVEN IF ME&V HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.  LICENSEE ACKNOWLEDGES THAT THE LICENSE FEE REFLECTS THIS ALLOCATION OF RISK.

11. Notices: All notices or other communications hereunder shall be given in writing and shall be deemed to be duly given if delivered or mailed, first class postage prepaid, faxed or emailed, to the following addresses:

or to such other person or address as ME&V shall furnish to Licensee in writing.

12.  Miscellaneous:      

A. Licensee may not assign this License, without prior written consent of ME&V. This License shall be binding upon the successors or assignees of the parties.  This License can be assigned by ME&V. This License shall be binding upon the successors or assignees of the parties.  Other than provided herein, Licensee shall not allow any third party to obtain or use the Product(s).

B. The validity, interpretation, performance and enforce­ment of this License shall be governed by the laws of Iowa. Each of the par­ties consents to the jurisdiction of the Iowa District Court for Black Hawk County in Iowa in all matters relating to this License.  The prevailing party in any action to enforce this License shall be entitled to reasonable attorney fees and costs.

C. This License sets forth the entire understanding of the parties and no terms, conditions, or warranties other than those contained herein and no amendments thereto shall be valid unless made in writing and signed by the parties hereto.

D. Nothing herein shall be construed as creating a partnership relationship, employment relationship, or agency relationship between the parties, or as authorizing either party to act as agent for the other.  Each party maintains its separate identity.                    

By agreeing to this agreement the Licensee hereby warrants that you have read and agree to the conditions of the License, and have full power and authority to sign for your respective organizations.

 Refund Policy

Since ME&V is offering non-tangible irrevocable goods we do not issue refunds once the order is completed and the product is delivered. As a customer you are responsible for understanding this upon purchasing any item at our site.

However, we realize that exceptional circumstance can take place with regard to the character of the product we supply.

1. Therefore, we DO honor requests for the refund on the following reasons: I) Non-delivery of the product: due to unforeseen circumstances you do not receive a delivery e-mail from us;

II) Download technical issues: it may happen so that you are having trouble with downloading one of our products;

III) Irreplaceable defects or difficulties with the product editing: although all the products are thoroughly tested before release, unexpected errors may occur. This reason should be submitted to our Support Team for verification of an issue;

IV) Product not-as-described: a request based on this reason is satisfied on a case by case basis in agreement of both parties concerned. Our product description section should be read thoroughly. To prevent this situation every customer is suggested to check our samples of each type of the product offered before making the purchase. It helps to research the product's structure and evaluate one's skills in graphic design editing.

You should accompany this request with detailed and grounded reasons why you apply for a refund. Please, make sure your request does not contradict our Terms of Use. Please make sure that you have carefully read out product description section.

The refund is issued to you after we receive a Waiver of Copyright signed by you. A copy of the document is sent to you at once after review of your refund request. Please, acknowledge that by mutual consent Exchange can be done to avoid a Refund.
